1. Welcome to the Grumpy Bear Film Festival (hereinafter: “GBFF”) video application (hereinafter: “Application”) organized by Grumpy Bear (hereinafter: “Organizer”), where you can enter a video, as detailed below, to win various prizes based on different categories.

2.  The film contest, for there will be 1 number of winner, with various prizes, should be an original creative video in the form of a short film (a minimum of 15 seconds and maximum of 60 seconds) (hereinafter: the film).

3. Participation in the application are subject to these Terms and Conditions (hereinafter: “Terms”). The Terms constitute a legally binding agreement for all intents and purposes between the participant (hereinafter: “You”) and the Organizer. 

4. The application is open to everyone the age 18 years of age or older, who is interested in submitting the film to the GBFF and Organizer. 

 

Requirements for Participation

5. In order to participate in the Application, you will be required to do the following: Create a short video (minimum of 15 seconds, maximum of 60 seconds) to showcase your vision and purpose to create, and post the video to one of your social media profiles (TikTok (@GrumpyBearCoffee) or Instagram Reels (@GrumpyBear_Coffee)). Make sure to tag and mention Grumpy Bear Coffee Company (IG: TT: ) and use the hashtag #GrumpyBearCoffee . The video must be an original video creative project.

6. The application is open to individuals or teams, provided all team members are above the age of 18, and all team members shall authorize one team representative to act on their behalf opposite of the Organizer. 

7. The Organizer will choose, upon its sole discretion, Materials of one (1) winner (hereinafter: “Contest Winners”) and will grant them their prizes (as detailed below) as compensation for creating the film based on their materials. A team or individual are eligible for a single prize no matter how many members of the submission.

8. The Organizer reserves the right to modify or cancel the Application and/ or any of the GBFF or any of the arrangements, schedules or other items directly or indirectly related to the application and/or GBFF, at any time or for any reason if deemed necessary in its opinion. 

Eligibility

9. On the closing date of Materials submission, you must be 18 years of age or older. 

10. You approve that there is no legal prohibition on your participation in the Application. 

11. You must fulfull all the terms and conditions of participation

12. Employees of the Organizer and their family members are not eligible to participate

13. The Organizer is committed to complying with the sanctions laws and regulations of the United States and the EU. Accordingly, sanctioned countries, individuals/ entities named on a sanction list are not allowed to participate in the Application. 

 

Time Table

14. The Application will be held as follows: 

1. Launch: October 1. 2023

2. Application submission deadline: November 20, 2023

3. Winner’s announced: December 6, 2023

4. Prizes awarded by Dec 31, 2023

15. The Organizer may change any of the dates specified above upon its sole discretion.

16. Any  Material uploaded or submitted after the deadline and time will not be eligible to be chosen as a winner in the festival.

17. The Organizer will not bear any responsibility in case the Materials were not received by the Organizer for whatever reason.

18. The decision whether a certain Material will participate or not will be made only by The Organizer and shall be final. Without detracting from the above, the Organizer reserves the right to decide whether certain Material may not participate in the Application at its sole discretion and for any reason (including for technical, procedural or substantive reasons) and may disqualify Material that the Organizer believes might defame any person or entity and/ or infringe upon, misappropriate and/or violate the rights of any person or entity or promote of improper objects (such as promoting violence, hurting the helpless, etc.) 

Winner Selection

19. A panel of judges composed of certain Organizer’s employees (as appointed by the Organizer at its sole discretion) will select the Contest winners at its sole discretion and reserve the right not to select winners if Materials received are judged to be insufficient quality. The criteria to be considered in selecting winners Materials will include creativity, skills, quality, and any other relevant criterion that the judges will find fit.

20. The panel’s decisions will be final in every situation and you will not have any claim or demand about it.

21. The Organizer will notify the winners about their selection by an email to be sent to the email address provided by them during the regeneration process to the Application.

22. It’s your responsibility to track the Application results. The Organizer shall have no liability for your failure to receive notes due to the provisions of an incorrect or otherwise non-function email address. If any potential winner cannot be contacted, declines the awards, or fails to claim awards within 48 hours of being notified that he or she is the Will or publication of Application results, then such potential winner will forfeit the right to be the winner, and the Organizer may select replacement winners from among remaining eligible participants. 

 

Awards

23. General 

The Festival award will be various prizes awarded to you by the Organizer as compensation for your creativity and efforts in entering the competition.

 

24. The Awards

• $1,000 total prize pool

• First Prize: $500

• 1st Consolation Prize $250

• 2nd Consolation Prize: $250

• All this is to be provided to the winners for their efforts in creating project

 

The organizer will hold all rights in the Project (as detailed below), and shall have the right (among other things) to use the Project on all its social media platforms. The Organizer in its own discretion, may modify and/or add other elements to the Materials and/ or Project.

 

25. The awards rewards are transferable and provided “as is”. Organizer is not responsible for any award supplied by any third party and makes no warranty, guarantee or representation of any kind concerning the award (or any portion thereof) and disclaims any implied warranty.

Delivery of the Awards

 

26. The award will be transferred (according to the schedule specified below) to the bank account specified in the contact details the winner will be required to provide after receiving the winner’s announcement. The Winner is obliged to provide full and complete contact and bank account details. The absence of contact and/ or details that are incomplete or inaccurate may deny the right to receive the award. To the extent that the release of the GBFF award involves the payment of customs duty, this tax will apply to you only.

27. The GBFF award will be delivered in one (1) installment, and in full. Each award is to be determined according to the Organizer's discretion.

Taxation

37. All taxes whose application is either directly or indirectly connected to the 

Granting of the GBFF awards shall be charged to the award winner. You understand that you are solely responsible for any and all federal, state, and local taxes, fees, and assessments of any governmental authority (including without limitation, custom taxes, if and to the extent applicable) on any GBFF award with you may be awarded in connection with your participation in the festival and/ or winning any of the awards. The winners may be required to sign, at the request of and in the sole discretion of the Organizer, a Release and/ or an award acceptance form in order to receive the award.

 

Warranty and Obligations

 

38. By submitting the Materials to the Organizer and receiving the award, you assign and transfer to the Organizer all copyrights in the Materials and Project as well as now known or hereafter existing rights of every kind and nature throughout the universe in perpetuity and in all languages, pertaining to the materials and project. Without limiting the foregoing, to the extent any Material/Project is not deemed to be exclusively owned by the Organizer, you hereby make a full, irrevocable assignment, in perpetuity, to the Organizer of all sich Materials/Project, to be used by the Organizer (among other ways) on its social media platforms and/or in Organizer paid marketing campaigns. If any Materials and/or Project is not assignable to the Organizer, you hereby grant to Organizer a perpetual, irrevocable, fully paid-up, royalty-free, fully transferable, sublicensable, exclusive, worldwide right and license, free from any liens or encumbrances, to use, reproduce, distribute, display, and perform (whether publicly or otherwise), prepare derivative works of, otherwise enhance or modify, synchronize and otherwise explicit all or any portion of such Materials and Project.

 

39. You hereby unconditionally and irrevocably waive the enforcement of “droit moral” rights, “moral rights of authors” or any similar rights with respect to attribution of authorship or integrity relating to the Materials and Project against Organizer and its exhibitors, broadcasters, publishers, licensees, users, and other distributors.

 

40. You represent and warrant to the Organization that: (a) your Application for the GBFF and your obligations in accordance with these Terms do not and will not violate, conflict with, or result in breach under any agreement to which you are a party or by which you or the Materials and Project is/are or may become subject or bound; (b) you have all necessary rkghts to grant the rights and perform your obligation under these Terms without any third party participation or approvals; (c) you will not grant any rights under any future agreement, nor will it permit or suffer any new lien, obligation, or encumbrances that will conflict with the full enjoyment by the Organizer of the rights granted to the Organizer under these Terms; (d) you have and will have all requisite  ownership, rights, and licenses to fully perform your obligations under these Terms and to grant to the Organizer all rights with respect to the copyrights, trademarks rights and other intellectual property and/or proprietary right of any third party granted under these Terms, free and clear of any and all agreements, liens, adverse claims, encumbrances, and interests of any person or entity, (f) no part of any Materials and/ or Project shall or will defame any person or entity and/or infruge upon, misappropriate and/or violate the rights of any person or entity, including without limitation, any Intellectual Property Right(s), right(s) of privacy or publicity of any third party;

 

41. You hereby unconditionally and irrevocably waive any claim or demand for any improper use of the Materials and Project, as well as regarding any matter related to the Application of the festival, inclusive of, without limitation, its operation, Terms, and any other matter related thereto.

 

42. You shall indemnify, defend, and hold harmless the Organizer and its affiliates, and its and their respective directors, shareholders, officers, agents, employees, licensees, judges of the panel, successors, and assigns from and against any and all damages, costs, liabilities, losses, and expenses resulting from any claim, suit, action or proceeding brought by a third party arising out of, relating to and or in connection with, directly or indirectly, (a) any breach or alleged breach of any of the representations and/or warranties made by your under this Terms; (b) any breach or alleged breach of this Terms by you;

 

43. You agree that the Organizer will be entitled to use your name and/or image and/or photos and/or likeness for the presentation and promotion of the Application, GBFF, the announcement of the award winners, if and to the extent the Organizer may desire, at its exclusive discretion. Your full name and full contact information may be also disclosed in order to comply with law enforcement, court orders, or legal process.

 

44. You understand and agree that you will receive no compensation in your application to the festival, the assignment and transfer of all rights in the Materials and Project, and the use of the Materials and Project and your name and likeness.

 

45. You agree that the Organizer will be able to send you email messages referring to the Organizer’s services and other various subjects. If you do not want to receive the Organizer’s promotional or marketing emails, you can withdraw your consent at any time following the instructions in the Organizer’s website. 

 

46. The laws of the State of Israel will exclusively apply to these Terms and competent Court in Tel-Aviv - Yaffo only, and no other Court anywhere else, will hold unique and exclusive jurisdiction to hear any matter resulting from these Terms or included in same (including any issue relating to the Application and/pr Awards and/ or Materials) whether directly or indirectly. 

 

47. Any notice sent by email to the email provided by you will be considered to reach its destination and read within 24 hours from its dispatch and will be considered as lawful service for any purpose and intent.
